WeGrow AG: Annual General Meeting Approves All Agenda Items by Large Majority

Tönisvorst, July 9, 2025 – WeGrow AG, Europe’s leading sustainable kiri wood producer and developer of circular solid wood construction systems, held its Annual General Meeting today in Düsseldorf. All agenda items submitted for resolution were approved by a clear majority of the attending shareholders. Among other things, the Annual General Meeting discharged the members of the Management Board and the Supervisory Board and resolved to carry forward the entire 2024 net profit to new account. The strong approval underscores shareholders’ confidence in the company’s strategic direction and future development.

During the meeting, the Management Board reported on the operational development of the WeGrow Group and provided an outlook for the current 2025 financial year. Demand remains strong for the company’s four proprietary patented kiri tree hybrid varieties, with orders exceeding one million plants so far this year alone. Accordingly, production and delivery are currently running at full capacity.

Another milestone is imminent: In July, WeGrow will commission the semi-automated production line for its proprietary modular timber construction system, KiriBloX®, at its Tönisvorst site. The production line can be upgraded to full automation with minimal adjustments, positioning the company well for the anticipated high demand.

Also positive is the optimization of the Group’s debt maturity profile in the first half of 2025. A key step in this regard is the ongoing placement of the WeGrow AG Green Bond 2024/2029. In this context, nearly the entire 2019/2027 growth bond issued by the subsidiary WeGrow Germany GmbH (ISIN: DE000A2YPFN4) was successfully exchanged for the new Green Bond 2024/2029 of WeGrow AG. As a result, the bond issued by WeGrow Germany GmbH has been terminated as of November 30, 2025, and its listing on the Düsseldorf Stock Exchange’s open market will also end on that date. Thanks to the sustainable strengthening of its financial structure, the Management Board sees the Group as well-positioned for further growth.
